About this agreement

The Clerzo app (the “App”) is licensed to you by Clerzo Technologies LTD (“Clerzo”, “we”, “us”), under the terms of this agreement.

By downloading the App from the Apple App Store or Google Play (the “Stores”), or by creating a Clerzo account, you agree to these terms and to our Privacy Policy. If you use Clerzo for a business, you confirm you’re allowed to accept these terms on its behalf.

Apple and Google aren’t parties to this agreement. Clerzo alone is responsible for the App and its content, and these terms are meant to be read alongside the Stores’ own rules. Where they conflict, the Store rules win.

1. The app

Clerzo is a chat-based assistant for small businesses. You tell it what happened by text, voice or receipt photo, and it records sales, expenses, stock, debts and invoices, then turns them into summaries and insights. It runs on iOS and Android devices.

Clerzo is a record-keeping tool. It isn’t built to meet industry-specific regulations, and it doesn’t provide accounting, tax, legal or financial advice.

2. Your licence

We give you a personal, non-exclusive, non-transferable licence to install and use the App on devices you own or control, for your own business, as allowed by these terms and the Store rules. This licence also covers any updates we release, unless an update comes with its own terms.

You may not:

• sell, rent, lend, sublicense or otherwise share the App with others, except as the Store rules allow;
• copy, modify or create derivative works of the App, or remove any copyright or trademark notices;
• reverse engineer, decompile or try to extract the App’s source code, except where the law expressly permits it.

If you sell or give away a device, please sign out of Clerzo and remove the App first.

3. Your account

You need to be at least 18 to use Clerzo. Give accurate details when you sign up, keep your login private, and tell us right away if you think someone else has accessed your account. You’re responsible for activity on your account.

4. Plans and subscriptions

Free costs nothing and has usage limits: currently 5 updates a day, 1 store and 5 invoices a month.

Pro is a subscription, currently $5 a month or $48 a year, or the local price shown in your Store. It’s bought, renewed and billed through the Store, and renews automatically unless you cancel at least 24 hours before the current period ends. You can cancel in your Store subscription settings at any time; Pro stays active until the end of the period you’ve paid for, and your records stay in your account. Refunds are handled by Apple or Google under their policies. We’ll give you notice before any price change.

5. AI and your records

Clerzo uses AI to understand your messages and receipts, and AI can misread an amount, a quantity or a date. Please review what Clerzo records and correct anything that’s wrong. Every record can be edited, and receipt scans are shown to you before they’re saved. Insights and forecasts are estimates based on the records you’ve given, not guarantees. You remain responsible for your records and for any reports or filings you make from them.

6. Your content

Everything you add to Clerzo, including messages, records, receipts, customer details and logos (“Your Content”), belongs to you, and we don’t claim ownership of it. You give us permission to store and process Your Content only as needed to run and improve Clerzo for you, including through the service providers described in our Privacy Policy. That permission ends when you delete the content or your account.

You confirm that you have the right to add Your Content, including information about your customers, and that it isn’t false, unlawful or infringing anyone else’s rights.

7. Acceptable use

Don’t use Clerzo for anything unlawful, including fraud, tax evasion or dealing in prohibited goods. Don’t try to access other people’s data, disrupt or overload the service, get around our security, or use Clerzo to build a competing product. Breaking these rules can lead to your account being suspended or closed.

8. Use of data

We handle your personal information as described in our Privacy Policy. We may also collect technical information about your device and how the App performs, to provide support, deliver updates and improve Clerzo, in a form that doesn’t identify you.

9. Updates and requirements

We regularly update the App to keep it working with new devices and operating systems, and we may change features over time. You’re responsible for using a device and operating-system version that supports the App, and some features need an internet connection.

10. Support

We aim to help whenever you reach out at support@clerzo.com, but we don’t guarantee a particular response time. Apple and Google have no obligation to provide support or maintenance for the App.

11. Warranty

We promise the App is free of malware when you download it and works broadly as described. Beyond that, and as far as the law allows, the App is provided “as is”, including AI-generated records and insights. This doesn’t apply where the App has been modified, misused or run on unsupported devices.

If you find a defect, please tell us promptly so we can fix it. If the App fails to meet an applicable warranty, you may notify the Store, which may refund the purchase price; the Store has no further warranty obligation for the App.

12. Liability

As far as the law allows, Clerzo isn’t liable for indirect or consequential losses, lost profits or lost data, or for business decisions you make based on records or insights from the App. Our total liability for any claim is limited to the greater of what you paid us in the 12 months before the claim or USD $50. Nothing here limits liability that can’t be limited by law, such as for death, personal injury or fraud.

Clerzo, not Apple or Google, is responsible for handling any claims about the App, including product liability, legal or regulatory compliance, and consumer-protection or privacy claims.

13. Intellectual property

The App, the Clerzo name and logo, and everything we create belong to Clerzo. If anyone claims the App or your use of it infringes their intellectual property, Clerzo (not Apple or Google) will be responsible for investigating, defending and settling that claim. Ideas or feedback you share with us may be used without obligation to you.

14. Apple and Google

Apple and Google, and their subsidiaries, are third-party beneficiaries of this agreement. Once you accept it, they have the right to enforce it against you. We’ll comply with the Stores’ terms when providing the App, and you agree to follow any third-party terms that apply when you use it.

15. Legal compliance

You confirm that you’re not located in a country under a US government embargo or designated as supporting terrorism, and that you’re not on any US government list of prohibited or restricted parties.

16. Termination

This agreement lasts until you or we end it. You can stop using Clerzo and delete your account at any time. Your licence ends automatically if you seriously break these terms, and we may suspend or close accounts to protect our users or comply with the law. Where reasonable, we’ll warn you first and give you a chance to export your data. When the agreement ends, stop using the App and remove it from your devices.

17. Governing law

This agreement is governed by the laws of the Federal Republic of Nigeria, without regard to its conflict-of-law rules. If you live elsewhere, you keep any protections your local consumer law gives you.

18. General

If any part of this agreement turns out to be invalid, the rest still applies, and the invalid part will be replaced with a valid one that comes as close as possible to its purpose. We may update these terms; we’ll post changes here, update the date at the top, and tell you in advance about significant ones. Any other change to this agreement must be in writing.
